  • Assisting clients with registering offerings of securities with the Securities and Exchange Commission and state securities commission, including advising clients as to federal and blue sky law exemptions and drafting prospectuses, handling periodic reporting obligations, and drafting and reviewing offering memoranda and other disclosure documents.
  • Advising clients on evolving regulatory landscapes and the impact of legislative changes on clients’ investment and governance strategies.
  • Conducting thorough due diligence investigations to uncover potential financial, operational or legal risks associated with corporate transactions.
  • Advising clients on developing internal programs to educate officers, directors and employees in various aspects of compliance.
