  • Preparing, reviewing and negotiating contracts for manufacturing, sourcing and procuring products, services, equipment and materials, including, without limitation, contracts related to supply and distribution, procurement of materials and packaging, co-packing, warehousing, consignment, logistics, transportation, and MSSP, VAR and OEM arrangements.
  • Preparing, reviewing and negotiating distribution agreements, including, without limitation, rights to exclusive distribution in certain territories.

  • Preparing, reviewing and negotiating customer-facing contracts and terms and conditions for product sales and services, including co-branded and white-labeled products and services.
  • Preparing, reviewing and negotiating consulting and general services contracts, including, without limitation, contracts related to professional services, support services, staffing services, logistics services, transportation services, delivery services, and on-site services.
  • Advising clients regarding marketing, sponsorship, promotion, advertising and agency and referral arrangements, including, without limitation, contracts for co-promotion, branding, and ad sales.
  • Advising clients on collaborations (enterprise-wide and across industries) and joint ventures, including, without limitation, advising clients on new product development, integration of product offerings in connection with acquisitions, and expansion into new markets and industries.
