Courtney is of counsel in the firm’s Atlanta office. Courtney’s practice focuses on advising established and developing companies, venture capital firms, angel investors, private equity firms, and strategic acquirers in a variety of transactions, including mergers, stock and asset sales, recapitalizations, debt and equity financing, joint ventures, and other complex corporate transactions. She also regularly counsels clients on corporate governance, board oversight, fiduciary duties, and key strategic and compliance issues that arise throughout the corporate life cycle. Courtney is deeply involved in the business and nonprofit community. She has served on the Technology Association of Georgia’s Corporate Development Board, had held prior positions with the Association of Corporate Growth, and actively supports women’s initiatives through the Atlanta Women’s Foundation, Women in Finance Affinity Group Board.
Represented numerous technology companies from formation, early stage SAFE and convertible note rounds and growth financings, to exit.
Represented fin tech company in $16,000,000 Series A round.
Represented corporate strategic acquirer in $650 million acquisition.
Represented chemical company in $220 million divestiture of a specialty chemical division.
Represented private equity firm in $35 million add-on acquisition of an environmental services company.
Represented supply chain management solutions company in $28 million acquisition of barge fleeting leases and related assets.
Represented private pharmacy in acquisition of pharmacy and related healthcare regulatory matters.
Served as Corporate Secretary and attend Board meetings.
