  • Represents clients in broad array of sophisticated commercial transactions and disputes, both domestic and international, including acquisitions, product development, technology, communications, licensing, privacy, data security and intellectual property matters.

  • Advises technology clients on strategic enterprise initiatives, collaborations, and new product development, including advising on operations-critical security, privacy, and data issues, such as developing the privacy architecture surrounding new products, services, or campaigns, and addressing issues involving scalability, and monetization.

  • Advised Fortune 500 companies, healthcare systems, hospitals, private corporations, and other industry-leading companies on ERISA, HIPAA, and ACA compliance in the context of corporate management, commercial transactions, data privacy and security, and corporate restructuring, ensuring regulatory alignment and mitigating legal risks.

  • Litigated ERISA and employment-related disputes in commercial litigation and bankruptcy, addressing executive compensation, employee benefits obligations, and pension liability in distressed transactions and corporate restructurings.

  • Advises clients on marketing insights and analytics matters and assists with product integration transactions including negotiating, reviewing and preparing data-sharing agreements involving measurement API, server to server transfer, mobile app conversion tracking API, and other emerging measurement and marketing transactions.

  • Advises clients across industries on all aspects of data- and privacy-related transactions, including product development, data collection, data management, use of customer data, software, retention, transfer, deletion, formulating an enterprise data rights strategy, and training personnel.

  • Advises clients on the execution of enterprise-wide data protection compliance and governance programs, including enterprise programs to comply with the EU General Data Protection Regulation (GDPR), U.S. government privacy and cybersecurity requirements, and other state-specific laws and regulations.

  • Represents debtors, creditors, and other parties in complex Chapter 11 cases and in all aspects of bankruptcy proceedings, including secured and unsecured claims, preferences, fraudulent transfers, 363 sales and other litigation matters.

  • Represents banks, funds, and other financial institutions and private lenders in structuring, managing, and negotiating contract terms, distressed acquisitions and dispositions, workouts, financing, and other transactions.

  • Advises clients (both licensors and licensees) on a variety of intellectual property issues, including means of protecting intellectual property assets, acquiring and selling intellectual property assets and licensing of intellectual property assets.  Representation includes both protecting IP rights and acquiring IP rights within bankruptcy.
