  • Represents clients in complex business transactions for the acquisition and disposition of assets and equity ownership interests on both the sell-side and buy-side.

  • Represents clients in negotiating and drafting asset, stock, and membership-interest purchase and sale agreements and related documentation for such transactions.

  • Represents clients in strategic initiatives relating to investment in innovative and industry disruptive technology in the media and telecommunications, health care, pharmaceutical,  and retail industries, including purchase of stock in developing technology companies, joint venture arrangements for new revenue streams and expansion into new technologies, distribution channels, markets and industries.

  • Represents clients across industries in technology and general commercial transactions, including preparing, reviewing and negotiating rights for augmented reality and artificial intelligence predictive technology, cloud agreements, software licensing and hosting agreements, professional services, staffing, marketing, sponsorship, promotion, advertising, and consulting agreements.

  • Prepares, reviews and negotiates customer-facing contracts and terms and conditions for technology product sales and licensing and co-branded and white-labeled products and services.

  • Represents media company clients (including broadcast media and social media) in negotiating term sheets and definitive agreements with emerging technology providers for content streaming, video-on-demand, and advertising serving technology.

  • Represents public and private clients with respect to domestic and international purchase and supply agreements, distribution agreements, and broker agreements.

  • Advises clients on a variety of intellectual property issues, including means of protecting intellectual property assets (including through trademark and copyright applications, non-disclosure agreements, confidentiality agreements, and proprietary information agreements), acquiring and selling intellectual property assets, and licensing of intellectual property assets.

  • Advises national banks in connection with multi-million-dollar syndicated loans, including construction loans, term loans, and other forms of credit facilities.
