Michael is of counsel in the firm’s Atlanta office. His practice centers on the structuring and negotiation of complex, enterprise-level B2B technology and commercial transactions, including SaaS, software licensing, data processing, and strategic sourcing agreements.
With a background spanning both in-house counsel roles and private practice, Michael provides pragmatic, business-focused legal guidance that balances contractual, regulatory, and operational risk. Clients value his ability to work seamlessly with sourcing, business, and technical stakeholders to streamline deal cycles and support critical revenue and operational goals.
Michael advises clients across a range of industries, including banking and fintech, telecommunications, Internet of Things a/k/a IOT, restaurant franchising, food products, consumer packaged goods, and big-box retail.
Directed the negotiation of high-risk, enterprise-critical technology transactions, including multimillion-dollar software licensing arrangements, e-commerce solutions, and SaaS implementations for clients, including several nationally known regional and international banks, a leading Atlanta-based provider of telematics and IOT services, the US division of a European-based global manufacturer and distributor of food products, and a nationally known West Coast-based home furnishings retailer.
Led the negotiation of a complex managed services agreement for the deployment, operation, and maintenance of a revenue-generating, interactive tabletop point-of-sale system for a nationally recognized restaurant franchise.
Successfully fast-tracked the negotiation of revenue-generating BPO and ITO agreements for the U.S. division of a U.K.-based software vendor in the enterprise accounting, payments, payroll, and human resources management space.
Led multiple negotiations to replace an international bank’s legacy agreements for accounting services, project-based professional services, and business process outsourcing (BPO) (including tax services) with updated engagements across all the Big Four accounting firms.
Negotiated multiple interrelated agreements with the “ecosystem” of vendors supporting the transition of a prominent financial institution’s internally managed supercomputing infrastructure to a third-party cloud-based solution.
Developed the first 50-state consumer-facing B2C contract template covering the sale and delivery of home improvement services by a nationally recognized big-box retailer.
