Ellen is of counsel in the firm’s Atlanta and Miami offices, where she has worked since 2014.  Ellen’s practice focuses on the representation of national and international clients across industries in a variety of technology, marketing, strategic and complex business transactions.  She also represents clients in strategic initiatives relating to investment in innovative and industry disruptive technology, acquisition of customer-facing technology solutions, new product development, and expansion into new markets and industries.  Clients represented include those in the telecommunications, media, technology, retail, health care and pharmaceutical industries.

  • Prepares, reviews and negotiates contracts for the distribution and monetization of content on websites and mobile applications, including contracts for digital sales platforms, serving and placement of targeted interactive media advertisements on digital properties, sale of digital advertising inventory, and delivery of location-based advertising using cloud-based technology.

  • Prepares, reviews and negotiates contracts (including insertion orders and amendments to IAB advertising terms) with demand- and supply-side platforms, data management platforms, ad servers, data analytics providers and publishers, including, without limitation, contracts for data licensing, programmatic buying, data optimization, targeting, ad content and development.

  • Prepares, reviews and negotiates data-sharing agreements involving behavioral advertising and geotargeting, programmatic buying, cross-device tracking, Internet of Things implementations and other emerging communications and business practices.

  • Represents media clients on strategic initiatives (enterprise-wide and across industries), collaborations and joint ventures, including, without limitation, advising regarding sale, development and licensing of content and intellectual property assets, new product development and expansion into new technologies, distribution channels, markets and industries involving digital advertising.

  • Represents media company clients (including broadcast media and social media) in negotiating data storage and processing agreements with public storage platforms and in negotiating term sheets and definitive agreements with emerging technology providers for content streaming, video-on-demand and advertising serving technology.

  • Advises clients on all aspects of data- and privacy-related transactions, including issues relating to the sale, purchase and licensing of data and the protection, collection, management and use of user and customer data (including personally identifiable information) and compliance with existing and emerging privacy regimes.

  • Advises clients on a variety of intellectual property issues, including means of protecting intellectual property assets (including through trademark and copyright applications, non-disclosure agreements, confidentiality agreements and proprietary information agreements), acquiring and selling intellectual property assets and licensing of intellectual property assets. Clients include both licensors and licensees of content, software and other technology-related intellectual property.

  • Advises clients on Internet and technology matters, including website development, website hosting, and preparing website terms and conditions and privacy policies.

  • Represents clients in negotiating and drafting professional services, advertising, marketing, sponsorship, promotion, and consulting agreements.

  • Assists corporate legal departments by working directly with corporate business personnel to negotiate agreements and develop corporate business opportunities.
